Location Logic (the "Service") provided by Location Logic (the "Provider") pursuant to the Terms of Use set forth below. By registering, you are agreeing to use the Service in a manner consistent with the Terms of Use of this Agreement and with all applicable laws and regulations. These terms of use (the "Terms") are for the use and subscription to the Location Logic Applications (“Location Logic Application” or “Service”) selected by you, the “Licensee” or “you” or “Customer”). Use of Location Logic Application(s) is expressly conditioned upon your acceptance of and compliance with the following terms and conditions.
The following terms have the meaning set forth herein:
Licensee Data: All materials, including but not limited to graphic, picture, text, audio, video, software or information not generated by Location Logic or under contract or agreement with Location Logic, posted by or at the direction of or on behalf of Licensee on Location Logic Application(s). Privacy Policy: The Location Logic Privacy Policy identifies the manner in which Location Logic obtains, accesses and provides others with access to information obtained by Location Logic. The Location Logic Privacy Policy can be viewed at www.Location-Logic.com. Location Logic reserves the right to modify the Privacy Policy from time to time. The Location Logic Privacy Policy, as revised, is hereby incorporated by reference. In the event of any conflict between the terms of the Privacy Policy and the terms of this Agreement, the terms of this Agreement shall govern. Location Logic Application(s): Location Logic develops web-based applications, which provide a collaborative environment for sharing, managing, reporting and updating data. Location Logic may provide any number of applications to which a Licensee may subscribe. Location Logic Application(s) will be hosted on servers maintained and secured by Location Logic or a 3rd party service. Licensee: An individual, user or entity accessing Location Logic Application(s) with one or multiple, unique User Account(s). A Licensee User Account will consist of one person with a distinct user name, which requires a password and who is accessing Location Logic Application(s) under the account established for Licensee. User Account: A User Account will consist of one person with a distinct user name, which requires a password to access Location Logic Application(s). Generic, shared or company-wide accounts may not be used. Evidence of user account sharing may result in the immediate suspension of the user account in question or the entire Location Logic Application(s).
Location Logic grants Licensee, a non-exclusive, non-transferable, worldwide right to use Location Logic Application(s) as set forth herein. All rights not expressly granted to Licensee are reserved to Location Logic.
The License Fee for all subscriptions to Location Logic Application(s) shall be automatically charged against and paid on an agreed schedule, in advance, via credit card or by invoice (subject to credit checks and at the sole discretion of Location Logic). Every Licensee shall be subject to a subscription fee (billing periods may vary). All orders shall be pre-approved with an acceptable method of payment as established by Location Logic, which may call for and require additional verification, credit validation or information as deemed necessary by Location Logic.
Licensee must ensure that all users have constant and continued access to the Internet in order to access Location Logic Application(s). Location Logic cannot be held responsible for any disruption in access to Location Logic Application(s) caused by Internet access failure or performance in the local environment of the Licensee or any environment under the control or influence of the Licensee.
Location Logic will provide free technical support via email at support@location-logic.com between the hours of 9am to 6pm (CST -06:00), Monday to Sunday.
Location Logic may provide modifications, upgrades and enhancements ("modifications") to Location Logic Application(s) for the Licensee, at Location Logic's sole discretion. Specific enhancements and modifications may be provided by Location Logic at the request of the Licensee under a separate agreement at Location Logic’s sole discretion and terms.
Location Logic Application(s) and related documentation are protected by various trademarks, copyrights and pending patents both in the United States and internationally and they also contain trade secrets and confidential materials. All Licensee Data transmitted through, posted on, or used in connection with Location Logic Application(s) are owned by Licensee and not the subject of this provision. Licensee shall not, and it shall not allow another person to make or make an attempt to, examine, copy, alter, "reverse engineer," tamper with or otherwise use Location Logic Application(s) except as set forth herein. Licensee further acknowledges and agrees that it has no proprietary interest in the Location Logic Application(s), that all proprietary interest in the Location Logic Application(s) is owned and controlled by Location Logic, and that Licensee will not attempt to or allow an attempt to transfer, duplicate, sell, license, or otherwise dispose of, in whole or in part, the Location Logic Application(s) or any component part thereof, to any, affiliate, or any third party, except as specifically provided herein. Licensee acknowledges and agrees that the obligation of confidentiality and protection of Location Logic's confidential and proprietary information shall survive the termination of this Agreement.
